1. Introduction
These Terms of Service ("Terms") govern your access to and use of the Vision platform ("Service") provided by LOGIQ OPS LTD, a company registered in England and Wales (Company No. 17279673), with its registered address at 53 Lakey Lane, Hall Green, Birmingham, B28 9DS ("we", "us", "our").
By accessing or using the Service, you agree to be bound by these Terms. If you are entering into these Terms on behalf of a business, you confirm that you have authority to bind that business.
2. The Service
2.1 Vision is an AI agent deployment platform that enables businesses to automate operational workflows including email management, scheduling, data processing, and communications.
2.2 All agent actions that interact with external systems (sending emails, creating calendar events, writing data) require explicit human approval before execution. You remain in control at all times.
2.3 The Service operates using third-party AI models (currently Anthropic Claude). We do not guarantee the accuracy, completeness, or fitness for purpose of any AI-generated output.
2.4 We reserve the right to modify, suspend, or discontinue any part of the Service at any time with reasonable notice.
3. Your Account
3.1 You must provide accurate and complete information when creating an account and keep it up to date.
3.2 You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account.
3.3 You must notify us immediately at hamza@logiq.org.uk if you suspect unauthorised access to your account.
3.4 You must be at least 18 years old and have the legal capacity to enter into contracts to use the Service.
4. Subscriptions and Payment
4.1 The Service is offered on a subscription basis. Pricing is set out at app.logiqops.co.uk/pricing.
4.2 Subscriptions are billed monthly in advance via Stripe. By subscribing, you authorise us to charge your payment method on a recurring basis.
4.3 All prices are in GBP and exclusive of VAT. We will add VAT where applicable when we become VAT registered.
4.4 Founding Client pricing (where applicable) is locked at the rate agreed at signup for as long as your subscription remains active and uninterrupted.
4.5 You may cancel your subscription at any time via the platform's account settings. Cancellation takes effect at the end of the current billing period. No refunds are provided for partial periods.
4.6 We reserve the right to change pricing with 30 days' notice. Founding Client pricing is exempt from price increases.
4.7 If payment fails, we will notify you and attempt to collect payment. If payment remains outstanding after 7 days, we may suspend your access to the Service.
5. Acceptable Use
5.1 You agree not to use the Service to:
- Send unsolicited bulk emails (spam)
- Harass, threaten, or harm any person
- Violate any applicable law or regulation
- Infringe the intellectual property rights of any third party
- Attempt to gain unauthorised access to any system
- Use AI-generated content to deceive or defraud
- Process sensitive personal data without appropriate safeguards and our prior written consent
5.2 You are responsible for ensuring that all workflows you create and all communications sent via the Service comply with applicable law, including UK GDPR, the Data Protection Act 2018, and PECR.
5.3 We reserve the right to suspend or terminate your account immediately if you have violated these Terms.
6. Intellectual Property
6.1 The Service is owned by LOGIQ OPS LTD and protected by copyright, trademark, and other intellectual property laws.
6.2 We grant you a limited, non-exclusive, non-transferable licence to use the Service for your internal business purposes during your subscription.
6.3 You retain ownership of all data you input into the Service. You grant us a limited licence to process that data solely to provide the Service.
6.4 You must not copy, reverse engineer, decompile, or create derivative works from any part of the Service.
7. Data Protection
7.1 We process personal data in accordance with our Privacy Policy (logiqops.co.uk/privacy) and, where applicable, our Data Processing Agreement.
7.2 Where you use the Service to process personal data of your customers or employees, you are the data controller and we act as your data processor.
7.3 You are responsible for ensuring you have a lawful basis for processing personal data through the Service.
8. Confidentiality
8.1 Each party agrees to keep confidential all non-public information of the other party.
8.2 We will not share your business data, workflows, or client information with third parties except as necessary to provide the Service or as required by law.
9. Limitation of Liability
9.1 To the maximum extent permitted by law, our total liability shall not exceed the total fees paid by you in the 12 months preceding the claim.
9.2 We shall not be liable for any indirect, incidental, special, or consequential damages, including loss of profits or business interruption.
9.3 Nothing in these Terms limits liability for death or personal injury caused by negligence, or fraud.
9.4 The Service is provided for business use only.
10. Disclaimers
10.1 The Service is provided "as is" without warranties of any kind.
10.2 We do not warrant that the Service will be uninterrupted or error-free.
10.3 AI-generated outputs are not professional advice. You must not rely on them as such.
10.4 We are not responsible for the content of emails sent via the Service.
11. Indemnification
You agree to indemnify and hold harmless LOGIQ OPS LTD from any claims arising from your use of the Service, your violation of these Terms, or any content you send via the Service.
12. Term and Termination
12.1 These Terms apply from account creation until cancellation or termination.
12.2 Either party may terminate on written notice if the other materially breaches these Terms and fails to remedy within 14 days.
12.3 We may terminate your account immediately for non-payment, harmful use, or legal requirement.
12.4 On termination, your data will be retained for 30 days then deleted. You may request an export before deletion.
13. Changes to These Terms
We may update these Terms from time to time. We will notify you of material changes by email at least 14 days before they take effect.
14. General
14.1 Governing law: England and Wales.
14.2 Jurisdiction: Courts of England and Wales.
14.3 Entire agreement: These Terms, Privacy Policy, and DPA constitute the entire agreement.
14.4 Severability: If any provision is unenforceable, the rest continue in full force.
14.5 Assignment: You may not assign your rights without our prior written consent.
